Terms and Conditions

Effective Date: September 14, 2026
Last Updated: September 14, 2026

These Terms and Conditions (“Terms”) govern your access to and use of the Seller Ops IQ website, Private Beta / Early Access program, related forms, communications, and any software, services, features, or functionality made available by Seller Ops IQ.

Seller Ops IQ is owned and operated by Nexivo Technologies LLC, a Wyoming limited liability company (“Nexivo,” “Seller Ops IQ,” “we,” “us,” or “our”).

Nexivo Technologies LLC 30 N. Gould St. Sheridan, WY 82801 United States

By accessing our website, submitting a Private Beta or Early Access inquiry, joining a waitlist, creating an account when account functionality becomes available, or otherwise using Seller Ops IQ, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, you should not use Seller Ops IQ or participate in the Private Beta / Early Access program.

1. Seller Ops IQ

Seller Ops IQ is a software platform being developed to provide operational insights, analytics, workflow tools, reporting, and related functionality for e-commerce sellers.

Seller Ops IQ is currently in an early-stage Private Beta / Early Access phase. Certain functionality described on our website may be planned, under development, experimental, available only to selected beta participants, or not yet generally available.

Features, functionality, integrations, pricing, plans, availability, and product specifications may change as the platform develops.

2. Private Beta / Early Access Program

Seller Ops IQ may invite prospective users to express interest in participating in a Private Beta, Early Access program, pilot program, waitlist, or similar pre-release program.

Submitting an Early Access or Private Beta form is an expression of interest only.

Submitting an inquiry:

  • does not create a Seller Ops IQ account;
  • does not create a customer or subscription relationship;
  • does not guarantee acceptance into the Private Beta;
  • does not guarantee access to any particular feature;
  • does not guarantee any particular launch date;
  • does not constitute an Amazon authorization;
  • does not authorize Seller Ops IQ to access an Amazon seller account;
  • does not authorize Seller Ops IQ to access Amazon Selling Partner API ("SP-API") data; and
  • does not require you to provide Amazon seller credentials, tokens, API credentials, or other Amazon business data.

We may accept, decline, prioritize, postpone, limit, or discontinue participation in a beta program at our discretion.

3. Information Collected During the Interest Stage

During the initial Private Beta interest stage, we may request basic information such as your:

  • name;
  • email address;
  • company or store name;
  • approximate Amazon sales or order volume;
  • marketplaces in which you operate;
  • tools or systems currently used;
  • features or capabilities of interest; and
  • comments, feedback, or other information voluntarily submitted.

At this stage, Seller Ops IQ is not requesting access to your Amazon seller account or SP-API business data.

You should not submit Amazon credentials, passwords, API keys, access tokens, secret keys, financial account credentials, or other sensitive authentication information through a beta interest form.

Our collection and handling of personal information is also governed by our Privacy Policy.

4. Beta Software and Experimental Features

If you are subsequently selected to participate in the Private Beta, you acknowledge that beta software is experimental and may be incomplete.

Beta functionality may:

  • contain bugs, errors, defects, or inaccuracies;
  • experience interruptions or downtime;
  • produce incomplete or inaccurate calculations or recommendations;
  • be modified without notice;
  • have limited support;
  • differ from features ultimately released commercially; or
  • be suspended or discontinued.

You should independently verify important information generated by beta functionality before relying upon it for business, financial, inventory, purchasing, pricing, tax, accounting, or other decisions.

Beta services are provided primarily for evaluation, testing, feedback, and product-development purposes.

5. No Guarantee of Commercial Release

Participation in the Private Beta does not guarantee that Seller Ops IQ, or any particular feature, integration, subscription plan, or service, will become commercially available.

Nexivo may modify, postpone, replace, suspend, or discontinue any proposed feature or the Private Beta program at any time.

6. Indicative Pricing

Seller Ops IQ may display proposed or indicative subscription plans, including Starter, Growth, or other plans, during the Private Beta period.

Unless expressly identified as a binding offer, beta-stage pricing is provided for informational and market-validation purposes only.

Displayed pricing, plan names, usage limits, features, discounts, introductory offers, or other commercial terms may change before general availability.

Submitting a Private Beta inquiry does not obligate you to purchase a subscription.

Likewise, Nexivo is not obligated to provide future services at pricing displayed during the beta-interest stage unless we separately agree to such pricing in writing.

7. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Seller Ops IQ.

If you access Seller Ops IQ on behalf of a company, organization, or other legal entity, you represent that you have authority to act on behalf of that entity and bind it to applicable agreements.

8. Accounts and Authentication

Certain Seller Ops IQ functionality may eventually require creation of an account.

If an account is provided to you, you are responsible for:

  • maintaining the confidentiality of your login credentials;
  • using strong and secure authentication methods;
  • complying with any multi-factor authentication requirements;
  • restricting unauthorized access to your account; and
  • promptly notifying us if you suspect unauthorized access.

You may not share credentials in a manner that circumvents user, subscription, or security restrictions.

9. Amazon Integration and SP-API

Seller Ops IQ may in the future provide functionality that integrates with Amazon services, including Amazon's Selling Partner API.

Any future Amazon connection will be subject to additional technical, security, privacy, authorization, and Amazon-specific requirements.

Seller Ops IQ will not ask you to provide your Amazon account password to establish an SP-API connection.

When Amazon integrations become available, authorization should occur through the applicable Amazon authorization process.

Amazon may impose its own terms, policies, restrictions, and requirements on your use of Amazon services and data. You remain responsible for complying with the terms governing your Amazon seller account.

Seller Ops IQ is an independent product of Nexivo Technologies LLC and is not Amazon or an Amazon-owned service.

Unless expressly stated otherwise, Nexivo Technologies LLC and Seller Ops IQ are not endorsed, sponsored, or certified by Amazon.

"Amazon" and related trademarks are the property of their respective owners.

10. Tenant Data and Administrative Access

Seller Ops IQ is being designed with tenant isolation and access controls intended to restrict one customer from accessing another customer's business data.

Our intended production architecture is also designed so that ordinary platform administrative access does not provide system administrators with unrestricted visibility into tenant business data.

However, during the Private Beta and development stages, architecture, security controls, operational procedures, and technical implementations may continue to evolve.

Where exceptional access is technically necessary for security, incident response, legal compliance, troubleshooting, maintenance, or support, such access may be subject to appropriate authorization, access controls, and logging.

Specific data-access commitments applicable to production customers may be further addressed in our Privacy Policy, Security documentation, Data Processing terms, or customer agreements.

11. Acceptable Use

You may not use Seller Ops IQ to:

  • violate applicable law or regulation;
  • violate Amazon policies or the terms of another platform;
  • gain unauthorized access to another person's account, tenant, data, or systems;
  • attempt to bypass authentication, authorization, tenant-isolation, rate-limit, or security controls;
  • probe, scan, or test vulnerabilities without written authorization;
  • introduce malware, malicious code, or harmful content;
  • interfere with the operation or security of Seller Ops IQ;
  • scrape, harvest, or systematically extract platform data except as expressly authorized;
  • impersonate another person or organization;
  • use Seller Ops IQ to facilitate fraud or deceptive activity; or
  • reverse engineer or attempt to derive source code except where such restriction is prohibited by applicable law.

We may restrict or terminate access where we reasonably believe these requirements have been violated.

12. Customer Responsibilities

If you are provided access to Seller Ops IQ, you are responsible for the accuracy, legality, and appropriateness of information you submit to the platform.

You are also responsible for maintaining appropriate backups and records necessary for your business.

Seller Ops IQ should not be treated as the sole system of record for information that is legally, financially, or operationally critical unless expressly agreed otherwise.

13. Feedback

Private Beta participants may provide suggestions, comments, feature requests, ideas, bug reports, or other feedback ("Feedback").

You grant Nexivo a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, incorporate, and otherwise use Feedback to develop, improve, market, and operate Seller Ops IQ and other Nexivo products and services.

This does not transfer ownership of your underlying business data to Nexivo.

14. Intellectual Property

Seller Ops IQ, including its software, interfaces, designs, branding, documentation, workflows, graphics, text, underlying technology, and other proprietary materials, is owned by Nexivo Technologies LLC or its applicable licensors and is protected by intellectual-property laws.

Except for the limited rights necessary to use the service as authorized, these Terms do not grant you ownership of Seller Ops IQ or its intellectual property.

You retain ownership of information and content that you lawfully submit to Seller Ops IQ, subject to the limited rights necessary for us to operate and provide the applicable services.

15. Confidential Beta Information

We may identify certain unreleased functionality, documentation, technical information, security information, or other materials as confidential.

If information is clearly identified as confidential or would reasonably be understood to be confidential given its nature and the circumstances of disclosure, beta participants must not disclose it to third parties except as authorized by Nexivo or required by law.

Information that is publicly available through no breach of an obligation of confidentiality is not considered confidential under this provision.

16. Third-Party Services

Seller Ops IQ may integrate with or provide links to third-party products, platforms, APIs, websites, or services.

Third-party services are governed by their own terms and privacy practices.

Nexivo does not control and is not responsible for the availability, functionality, security, policies, or conduct of independent third-party services.

17. Privacy and Data Protection

Your use of Seller Ops IQ is subject to our Privacy Policy.

As Seller Ops IQ develops, additional data-protection or security terms may apply to customers connecting external systems or transmitting business data through the platform.

Where required, such terms may be presented separately before the applicable functionality is enabled.

18. Security

We use administrative, technical, and organizational measures intended to protect information processed by Seller Ops IQ.

However, no software platform, network, transmission method, or storage system can be guaranteed to be completely secure.

You are responsible for maintaining appropriate security practices for your own devices, accounts, credentials, networks, and users.

You should promptly notify us if you become aware of a suspected security issue relating to Seller Ops IQ.

19. Availability and Changes

We may modify Seller Ops IQ and its functionality at any time, including adding, removing, limiting, or changing features.

During the Private Beta, service availability may be interrupted for testing, deployment, maintenance, upgrades, security work, or other operational reasons.

We do not guarantee any specific uptime or service level during the Private Beta unless expressly agreed otherwise in writing.

20. Suspension and Termination

We may suspend or terminate beta participation or access to Seller Ops IQ where reasonably necessary, including for:

  • violation of these Terms;
  • suspected fraud or abuse;
  • security concerns;
  • unauthorized access;
  • violation of third-party platform requirements;
  • legal or regulatory requirements;
  • protection of Seller Ops IQ, its customers, or third parties; or
  • discontinuation or restructuring of the Private Beta.

Beta participants may discontinue participation at any time unless another written agreement provides otherwise.

21. No Professional Advice

Seller Ops IQ may provide analytics, calculations, forecasts, alerts, recommendations, operational insights, or AI-assisted information.

Such information is provided for informational and operational purposes only.

Seller Ops IQ does not provide legal, tax, accounting, investment, financial, or other regulated professional advice.

You remain responsible for evaluating information provided by the platform and making your own business decisions.

22. Artificial Intelligence and Automated Outputs

Certain current or future Seller Ops IQ features may use artificial intelligence, machine learning, rules-based automation, or other automated technologies.

Automated outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular business situation.

You should review and independently verify material outputs before taking consequential actions based upon them.

You remain responsible for decisions and actions taken using information generated by Seller Ops IQ.

23. Beta Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVATE BETA, EARLY ACCESS, PRE-RELEASE, AND EXPERIMENTAL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

NEXIVO MAKES NO WARRANTY THAT BETA SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIVO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXIVO TECHNOLOGIES LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA ARISING FROM OR RELATING TO SELLER OPS IQ OR THE PRIVATE BETA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIVO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO FREE PRIVATE BETA SERVICES WILL NOT EXCEED US $100.

If you subsequently purchase a paid service, the applicable subscription or customer agreement may establish a different limitation of liability.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nexivo Technologies LLC and its affiliates, officers, members, managers, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of Seller Ops IQ, your violation of these Terms, or your infringement of another party's rights.

26. Changes to These Terms

We may update these Terms as Seller Ops IQ develops, including when we introduce new functionality, integrations, paid subscriptions, or regulatory requirements.

The "Last Updated" date at the top of this page identifies the latest version.

Where required by applicable law or where changes materially affect existing customers, we may provide additional notice.

Your continued use of Seller Ops IQ after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

27. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms or Seller Ops IQ will be subject to the jurisdiction of the appropriate state or federal courts with jurisdiction under applicable law, unless the parties separately agree to another dispute-resolution procedure.

28. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

29. No Waiver

Failure by Nexivo to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Nexivo may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or transfer of the Seller Ops IQ business, subject to applicable law.

31. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular service, constitute the agreement between you and Nexivo concerning your use of Seller Ops IQ.

If you later enter into a separate written customer agreement with Nexivo, that agreement will control to the extent of any conflict with these Terms.
